1. Definitions
In these Terms of Service (the “Terms”):
- NRG4Cycling means the website available at nrg4cycling.co.uk and its subdomains, together with all related content, features and services offered through it (the “Site”).
- We, us and our refer to the owner and operator of NRG4Cycling.
- You and your refer to any person who accesses or uses the Site.
- Services means any online information, tools, content, functionalities or other services provided via the Site.
- Content means any text, images, graphics, logos, videos, audio, data, compilations, software, and other material available on or through the Site.
- Consumer means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
- Business User means any user who is not a Consumer.

3.4 User content
If you submit, post, upload or otherwise make available any content to or via the Site (“User Content”), you:
- remain the owner of your User Content;
- grant us a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, adapt, publish, translate, create derivative works from, publicly perform and display, and distribute your User Content for the purpose of operating, improving and promoting the Site and our Services;
- warrant that you have all necessary rights to grant the above licence and that your User Content does not infringe any third-party rights or applicable law;
- acknowledge that we may remove or disable access to any User Content at our discretion if we reasonably believe it breaches these Terms or applicable law.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
If you are a Consumer, we are responsible to you for foreseeable loss and damage caused by our breach of these Terms or by our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, for business losses, or for events outside our reasonable control.
If you are a Business User, to the fullest extent permitted by law: (a) we exclude all implied conditions, warranties and representations; and (b) our total aggregate liability arising out of or in connection with the Site and these Terms shall be limited to £100.
8. Indemnity
You agree to indemnify and hold us harmless from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your infringement of any third-party rights, except to the extent caused by our breach or negligence.

17. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.
If you are a Consumer, you and we can bring legal proceedings in the courts of your place of residence in the United Kingdom or in the courts of England and Wales. If you are a Business User, you and we irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
